NUTRA NATURALS AFFILIATE PROGRAM

Terms & Conditions and Payout Process

By joining and participating in the Nutra Naturals Affiliate Program ("Program"), you agree to the following Terms & Conditions.

 

 

1. Affiliate Program Participation

The Nutra Naturals Affiliate Program is designed to reward approved affiliates ("Affiliates" or "Influencers") for creating authentic content and referring genuine customers to Nutra Naturals through their unique affiliate link, code or other approved tracking method.

Nutra Naturals reserves the right to approve, decline, suspend or remove any Affiliate from the Program at its sole discretion.

Participation in the Program does not create an employment, agency, partnership or joint venture relationship between Nutra Naturals and the Affiliate.

 

 

2. Monthly Content Requirements

To remain eligible for commission payments and ongoing participation in the Program, Affiliates must create a minimum of:

  • Two (2) in-feed posts per calendar month

  • One (1) Instagram Story per week

Content must feature or promote Nutra Naturals products and include any required tags, links, affiliate tracking links or disclosures, including where applicable:

  • @nutranaturals

  • #nutranaturals

  • #ad or other required paid partnership disclosure

Content may include approved formats across relevant social platforms, including TikTok and Instagram, unless otherwise agreed with the Nutra Naturals team in writing.

Failure to meet the minimum content requirements may result in:

  • Commission payments being withheld for the relevant period

  • Removal from future campaigns or partnership opportunities

  • Suspension from the Program

  • Removal from the Program

Nutra Naturals reserves the right to assess whether content meets the required brief, quality expectations, brand standards and Program requirements.

 

 

3. Content Guidelines, Advertising Standards and Compliance

All Affiliates must follow the Nutra Naturals Content Bible, including all applicable messaging guidelines, product information, approved claims, brand requirements and content do's and don'ts.

Affiliates must comply with all applicable laws, regulations, advertising standards, industry codes and platform-specific guidelines relevant to their participation in the Program and the publication of Nutra Naturals content.

This includes, where applicable:

  • Relevant Australian Consumer Law requirements

  • Applicable advertising and influencer marketing standards

  • FSANZ requirements

  • TGA requirements where relevant

  • Social media platform policies and community guidelines

  • Requirements relating to paid partnerships, endorsements and sponsored content

Affiliates must clearly disclose their commercial relationship with Nutra Naturals where required by law, regulation, advertising standards or platform guidelines. Appropriate disclosures may include, but are not limited to:

  • #ad

  • #sponsored

  • Paid partnership labels

  • Any other disclaimer or disclosure required by the relevant platform or regulatory body

As Nutra Naturals operates within regulated product categories, Affiliates must take particular care to ensure that content does not contain misleading, prohibited or unapproved claims.

Affiliates must not:

  • Make unapproved health or therapeutic claims

  • Promise specific results or outcomes

  • Use messaging inconsistent with the Nutra Naturals Content Bible

  • Misrepresent Nutra Naturals products, ingredients or benefits

  • Publish content that has been specifically flagged, rejected or requested to be removed by Nutra Naturals

  • Make misleading, deceptive or unsubstantiated statements

  • Breach applicable advertising, regulatory or platform requirements

Nutra Naturals may request that content be edited, corrected, updated or removed where it does not meet brand, legal, advertising or compliance requirements.

Failure to comply with these requirements may result in commissions being withheld, content removal requests, suspension or removal from the Affiliate Program.

 

 

4. Content Usage Rights

By participating in the Program and creating content, including but not limited to images, videos, reviews, testimonials or written materials featuring or promoting Nutra Naturals, its brand, products or services, the Affiliate grants Nutra Naturals a worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to use, reproduce, modify, adapt, edit, display, publish, distribute and otherwise use such content unless agreed to otherwise.

This licence applies to any purpose, including but not limited to:

  • Organic social media

  • Paid advertising

  • Marketing campaigns

  • Promotional materials

  • Website and ecommerce content

  • Email marketing

  • Retail and sales materials

  • Other digital or offline marketing channels

Nutra Naturals may use the content in any format, media or channel now known or developed in the future.

The Affiliate acknowledges that the purpose of this licence is to support and enhance the visibility of both the Affiliate and Nutra Naturals and agrees not to dispute, revoke or otherwise challenge Nutra Naturals' use of the content in accordance with this licence.

 

 

5. Commission Eligibility

Commission is earned only on eligible and valid sales successfully tracked through an Affiliate's unique link, code or other approved tracking method.

Commission will only become eligible for payment 21 days after the customer's order has been fulfilled.

This validation period allows Nutra Naturals to account for:

  • Cancellations

  • Refunds

  • Returns

  • Chargebacks

  • Fraudulent transactions

  • Duplicate transactions

  • Invalid orders

  • Self-referral activity

  • Any other transaction deemed ineligible by Nutra Naturals

Orders that are cancelled, refunded, returned, charged back, fraudulent or otherwise deemed invalid will not be eligible for commission.

 

 

6. Fraudulent, Invalid and Self-Referred Orders

Nutra Naturals reserves the right to investigate and reject any order or transaction that it reasonably believes to be fraudulent, manipulated, artificial or otherwise inconsistent with genuine customer acquisition.

Examples of fraudulent or invalid activity may include, but are not limited to:

  • Placing orders through your own affiliate link or code

  • Purchasing products for yourself using your own affiliate link or code for the purpose of generating commission

  • Creating multiple customer accounts to generate commissions

  • Encouraging friends, family members or others to place orders solely for the purpose of generating commission where the transaction is not a genuine customer purchase

  • Using false, misleading or manipulated customer information

  • Using stolen, unauthorised or fraudulent payment methods

  • Creating duplicate or artificial transactions

  • Attempting to manipulate the tracking or attribution system

  • Using bots, automated systems or other artificial methods to generate clicks, orders or commissions

  • Coordinating transactions designed primarily to generate affiliate commission rather than genuine product sales

  • Any other activity that Nutra Naturals reasonably considers fraudulent or an abuse of the Program

Self-Referral Orders

Affiliates are not permitted to earn commission on purchases made by themselves through their own affiliate link, code or tracking method.

Any order reasonably identified as a self-referral may be excluded from commission eligibility.

Nutra Naturals reserves the right to determine whether an order constitutes a self-referral based on information available to the Company, including but not limited to customer details, payment information, shipping information, account information and transaction patterns.

Paid Advertising

Affiliates must not place paid advertising or spend their own advertising budget to promote their unique affiliate link, code or tracking method unless expressly approved in writing by Nutra Naturals.

This includes, but is not limited to:

  • Meta advertising

  • TikTok advertising

  • Google advertising

  • Search advertising

  • Paid social media advertising

  • Boosting posts for the purpose of driving traffic directly through an Affiliate's link or code

Affiliates may not use paid advertising to artificially generate commission or compete with Nutra Naturals' own advertising activity.

Any commission generated through unauthorised paid advertising may be withheld or cancelled.

Where an Affiliate has received written approval from Nutra Naturals to run paid advertising, all activity must comply with the specific campaign requirements, advertising guidelines and restrictions provided by Nutra Naturals.

 

 

7. Payout Process

Nutra Naturals processes Affiliate payouts once per month.

Eligible commissions that have successfully completed the 21-day validation period will be included in the next available monthly payout cycle.

Payouts are processed on the final business day of each month, or on the closest following business day if the final business day falls on a weekend or public holiday.

For example, commissions from orders that have not completed the 21-day validation period by the relevant payout date will automatically roll over into the following month's payout cycle.

All commissions remain subject to final validation and approval by Nutra Naturals prior to payment.

Nutra Naturals reserves the right to withhold, adjust, reverse or cancel commission where:

  • An order is refunded, cancelled or returned

  • A chargeback occurs

  • An order is identified as fraudulent or invalid

  • The Affiliate has breached these Terms & Conditions

  • The Affiliate has failed to meet applicable content requirements

  • The Affiliate has breached advertising or compliance requirements

  • Commission has been incorrectly calculated or attributed

ADDITION: *Commission will not be paid where the Creator’s accrued eligible commission is below the minimum payout threshold of $10 AUD.*

 

8. Payment Details and Tax Obligations

Affiliates are responsible for ensuring that their payment and account details are accurate and up to date.

Nutra Naturals is not responsible for delays resulting from incorrect, incomplete or outdated payment information.

Affiliates are responsible for managing and paying any tax obligations associated with income earned through the Affiliate Program.

 

 

9. Confidentiality

During their participation in the Program and partnership with Nutra Naturals, the Affiliate may receive, have access to or create documents, records, information and materials of a confidential or proprietary nature relating to Nutra Naturals, its business, customers, suppliers, products, marketing strategies, campaigns, financial information and operations ("Confidential Information").

The Affiliate acknowledges and agrees that such confidential information is confidential and proprietary to Nutra Naturals and that, in order to preserve the goodwill, commercial interests and relationships of Nutra Naturals and its customers, such information must be kept strictly confidential.

The Affiliate agrees that Confidential Information may only be used for the purpose of performing their obligations and services under the Affiliate Program and must not be used for any other purpose without the prior written consent of Nutra Naturals.

The Affiliate must not, without the prior written permission of Nutra Naturals:

  • Use Confidential Information for their own benefit or the benefit of another person or business

  • Disclose or communicate Confidential Information to any third party

  • Copy, reproduce or distribute Confidential Information except where reasonably necessary to perform their obligations under the Program

  • Permit another person to access or use Confidential Information

  • Publicly disclose the terms of private campaigns, commercial arrangements, commission structures, internal briefs or other non-public information

The Affiliate may disclose Confidential Information only to existing authorised employees or representatives of Nutra Naturals, or where otherwise directed or approved in writing by Nutra Naturals.

These confidentiality obligations continue during the Affiliate's participation in the Program and after the Affiliate's relationship with Nutra Naturals ends.

 

 

10. Changes to Commission Structure and Program Terms

Nutra Naturals reserves the right to modify or change the commission structure, commission rates, incentives, qualifying criteria, payout requirements, content requirements or any other aspect of the Program at any time and without prior notice.

This may include changes to:

  • Commission rates

  • Commission eligibility requirements

  • Qualifying products or sales

  • Affiliate incentives

  • Program requirements

  • Content requirements

  • Payout processes

  • Fraud and validation requirements

  • These Terms & Conditions

Continued participation in the Program constitutes acceptance of any changes made by Nutra Naturals.

 

 

11. Suspension or Removal from the Program

Nutra Naturals reserves the right to suspend or remove an Affiliate from the Program where an Affiliate:

  • Fails to meet monthly content requirements

  • Breaches the Nutra Naturals Content Bible

  • Breaches applicable advertising or regulatory requirements

  • Makes misleading, deceptive or unapproved claims

  • Fails to appropriately disclose paid or sponsored content

  • Engages in fraudulent activity

  • Generates self-referral orders

  • Uses unauthorised paid advertising

  • Attempts to manipulate affiliate tracking or commission attribution

  • Misrepresents the Nutra Naturals brand or products

  • Breaches confidentiality obligations

  • Breaches these Terms & Conditions

Nutra Naturals may remove an Affiliate immediately where it reasonably believes that continued participation may cause reputational, legal, regulatory or commercial risk to the Company.

Any outstanding commissions remain subject to final validation and compliance with these Terms & Conditions. Nutra Naturals reserves the right to withhold unpaid commissions associated with fraudulent, invalid or non-compliant activity.

 

 

PAYOUT SUMMARY

To be eligible for payment, Affiliates must:

✓ Create a minimum of 2 in-feed posts per month and 1 Instagram Story per week

✓ Follow the Nutra Naturals Content Bible

✓ Comply with all applicable laws, regulations, advertising standards and platform guidelines

✓ Clearly disclose paid or sponsored content where required

✓ Generate genuine, valid and successfully fulfilled customer orders

✓ Not generate self-referral or fraudulent orders

✓ Not use paid advertising to promote their affiliate link or code without written approval from Nutra Naturals

✓ Allow 21 days post-fulfilment for commission validation

✓ Maintain accurate payment details

Validated commissions are paid monthly on the final business day of each month, or the closest following business day.

ADDITION: * Minimum Commission Payout: The Creator must have accrued a minimum of $10 AUD in eligible commissions before a commission payment will be issued. *
